Nebius Group shares closed at $216.92 on Tuesday, capping an 18.78 percent surge across three straight sessions. The trigger was a single regulatory filing: NVIDIA disclosed a 9.3 percent beneficial ownership stake in the company.
A 13G stake disclosure is a routine SEC form. Yet traders read it as NVIDIA doubling down on one of Europe's leading AI cloud providers, and bid the stock up double digits.
NVIDIA's filing states it beneficially owns 22,256,412 Class A shares of Nebius, with sole voting and dispositive power over the entire position. On paper, that reads like a major strategic buy-in from the world's most important AI chipmaker.
The Filing Says Something Different Than the Rally Implies
Read the filing closely and the story changes. Of NVIDIA's 22.26 million shares, only 1.19 million were already outright holdings. The remaining 21,065,936 shares are issuable through a pre-funded warrant NVIDIA acquired back in March, tied to a $2 billion private placement Nebius completed at that time.
Contractual restrictions bar NVIDIA from exercising that warrant or selling the underlying shares before September 11. No new capital moved this week. The only thing that happened Monday was that SEC rules required NVIDIA to formally disclose a position it had already held since March, because the shares are counted as beneficially owned within a 60-day acquisition window.
NVIDIA also used a Schedule 13G rather than a 13D, and certified the shares were not acquired to influence control of Nebius. That is the language of a passive investor, not an activist doubling its bet. The market rallied a stock on the restatement of an old position, not on a new one.
That distinction matters because Nebius's valuation was already stretched before this filing. The stock's trailing twelve-month price-to-earnings ratio sits near 82 times, and one report notes shares are up roughly 155 percent year to date even after a sharp pullback the prior week.
NVIDIA Anchor vs. Stretched Multiple: Who Wins the Argument
The bull case and the bear case are now arguing over the same fact. Bulls point to NVIDIA CEO Jensen Huang's public comments on the two companies' AI factory design partnership, and to Nebius's asset-light pivot, where infrastructure partners finance and own data centers while Nebius supplies the software stack — a structure its CEO says delivers better margins than conventional wholesale contracts.
The rally even spilled into peers with no fresh catalyst of their own — CoreWeave rose 8 percent and Oracle climbed 5 percent the same day, largely as sympathy trades off Nebius's headline rather than company-specific news. That is the sign of a sector re-pricing on sentiment, not fundamentals.
Bears counter that Nebius carries no meaningful earnings anchor to justify an 82-times multiple, and that the stock's 105 to 155 percent year-to-date run has already priced in more NVIDIA validation than a locked, non-exercisable warrant can actually supply. If the market later realizes NVIDIA added no new exposure this week, the same filing that lifted the stock could just as easily deflate it once the novelty fades.
The condition that turns this into a genuine entry setup is straightforward: if NVIDIA lets the lockup lapse on September 11 without selling, or moves to exercise and hold the warrant shares, that is real, revealed conviction the market can finally verify. The condition that flags a trap is just as clear: any signal that NVIDIA intends to exit or reduce the position once the restriction lifts would confirm this week's move was priced on a filing technicality, not a new bet. For holders, the checkpoint to track is NVIDIA's post-lockup behavior on September 11. For anyone still on the sidelines, that same date — not this week's rally — is the point where the thesis actually gets tested.
