Jefferies flagged this in a note: if IFM's control triggers the put, OTPP could force Atlas Arteria to buy back its stake at a price that strains the balance sheet and potentially disrupts the distribution programme. The second variable is the Chicago Skyway, Atlas Arteria's largest single asset and the one the board has repeatedly cited as the foundation of its value-uplift case. IFM's own bidder statement dismissed the Chicago Skyway sale as "highly uncertain." The board's target statement calls it a genuine near-term option. Neither side has a binding deal or even a disclosed sale process timetable. The gap between "highly uncertain" and "genuine option" is not an analytical dispute — it is a contested fact between the bidder and the board, with no third-party resolution before June 25. That unresolvedness is what keeps a hold decision alive in theory. If the Chicago Skyway process is real, the embedded value exceeds A$5.10. If it is not, the board's case collapses. The distribution commitment and the Warnow sale can still proceed even under IFM's governance influence, but the borrowing-funded distributions and Chicago Skyway optionality require management aligned with minority-holder interests. That alignment is now structurally uncertain. For a watcher considering on-market purchase, the spread between the current market price and A$5.10 is narrow; the A$5.39 floor of the expert range provides a theoretical upside, but only if a competing proposal emerges — and IFM's binding "truth-in-takeovers" commitment not to pay above A$5.10 for 12 months after close makes a bump to the current bid structurally closed. The read breaks if IFM crosses 90 per cent and compulsorily acquires at A$5.10 while the Chicago Skyway sale delivers materially above IFM's "highly uncertain" characterisation, in which case the board's case was right and holders who accepted left value on the table. The single variable to watch before acting is not the distribution number — it is whether a competing proposal, or evidence of the Chicago Skyway process, surfaces before June 25 at 7pm AEST.
